Please read these Terms of Service ("Terms") carefully. They govern your access to and use of the website and services of Innovium Technologies ("we," "us," or "our"), a software house located at 731 B, Satellite Town, Gujranwala, Pakistan. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Acceptance of Terms
These Terms form a legally binding agreement between you (the "Client") and Innovium Technologies. By using our website, requesting a proposal, or signing a statement of work, you confirm that you have the authority to enter into these Terms and agree to all provisions herein.
2. About Us
Innovium Technologies provides custom software development, cloud and DevOps engineering, AI and machine learning, product design, quality assurance, and data engineering services to clients worldwide. Our registered office is at 731 B, Satellite Town, Gujranwala, Punjab, Pakistan.
3. Our Services
The specific services, deliverables, timelines, and fees for any engagement are defined in a separate written agreement such as a proposal, statement of work (SOW), or master services agreement (collectively, an "Agreement"). In the event of any conflict between these Terms and an Agreement, the terms of the Agreement prevail for that engagement.
4. Engagements, Quotes & Estimates
- Quotes are valid for thirty (30) days from the date issued unless stated otherwise.
- Estimates (e.g., timelines, effort) are approximate and may change if project scope, requirements, or third-party dependencies change.
- Any change to scope will be handled through a written change request and may affect fees and schedule.
5. Intellectual Property
Client-owned deliverables: Upon full payment of all applicable fees, we assign to the Client all intellectual property rights in the custom deliverables specifically created for the Client under an Agreement, to the extent assignable.
- Pre-existing & third-party materials: We may use tools, libraries, frameworks, and pre-existing components we or third parties own. These remain the property of their respective owners and are licensed to the Client on their original terms.
- Background IP: Our methodologies, templates, and internal tooling remain our property.
- Portfolio use: Unless contractually restricted, we may reference the engagement and use anonymized deliverables in our portfolio and marketing.
6. Client Responsibilities
To enable successful delivery, the Client agrees to:
- Provide timely access to information, systems, personnel, and decision-makers.
- Deliver accurate content, assets, and feedback within agreed timeframes.
- Ensure it has all necessary rights to any materials it provides to us.
- Obtain any required licenses, accounts, or third-party consents for the project.
Delays in Client responsibilities may adjust timelines and, where significant, incur additional fees.
7. Payment Terms
- Fees, currency, and payment schedule are set out in the applicable Agreement.
- Invoices are typically payable within fourteen (14) days unless otherwise stated.
- Late payments may accrue interest and lead to a pause in work.
- Unless agreed otherwise, fees are exclusive of applicable taxes, duties, and third-party costs, which the Client is responsible for.
- Fixed-price engagements may require an upfront deposit as specified in the Agreement.
8. Delivery & Acceptance
We deliver work in milestones and seek the Client's acceptance at each stage. The Client has a defined period (commonly ten business days) to review and accept or report defects in writing. Acceptance is deemed to have occurred if the deliverable is used in production or no written objections are raised within the review period.
9. Confidentiality
Each party agrees to keep the other's confidential information private and to use it solely for the purposes of the engagement. We will protect Client information in accordance with our Privacy Policy and applicable data-protection laws. Confidentiality obligations survive termination for a defined period.
10. Warranties & Disclaimers
We warrant that our services will be performed in a professional, workmanlike manner consistent with industry standards. We will, at our option, re-perform or remedy any materially deficient work reported within thirty (30) days of delivery. Except as expressly stated, all services and deliverables are provided "as is," and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, in no event shall Innovium Technologies be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, business, or goodwill, arising out of or related to the services. Our total aggregate liability under any Agreement is limited to the total fees paid by the Client for the services giving rise to the claim during the three (3) months preceding the claim.
12. Term & Termination
- An Agreement remains in effect until the services are completed or it is terminated as provided.
- Either party may terminate for material breach not cured within fifteen (15) days of written notice.
- Upon termination, the Client pays for all services rendered and approved expenses up to the termination date.
- Provisions that by their nature should survive — including IP, confidentiality, liability, and governing law — remain in effect.
13. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or related to them or our services are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. The parties agree to first attempt to resolve disputes amicably through good-faith negotiation. Any dispute that cannot be resolved shall be subject to the exclusive jurisdiction of the competent courts of Gujranwala, Punjab, Pakistan.
14. Changes to These Terms
We may revise these Terms at any time. The "Last updated" date above indicates when they were last revised. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
